Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions have the same meaning whether they appear in singular or in plural.
Definitions
For the purposes of these Terms and Conditions:
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
Bailee means the Company's product. Bailee issues a cryptographic certificate that lets a court check how a legal filing was made: which model ran, that a named lawyer adopted the filing, that citations were verified, and that no client identifier reached a model. The firm keeps its own documents. The Company stores none of them.
Company (referred to as either "the Company", "We", "Us", or "Our" in this Agreement) refers to Bailment, Inc., a Delaware C corporation.
Device means any device that can access the Service, such as a computer, a phone, or a tablet.
Service refers to the Website.
Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions, which form the entire agreement between You and the Company regarding the use of the Service.
Website refers to Bailment, accessible from https://bailment.tech
You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.
Acknowledgment

The Website Is a Demonstration
Today the Website is a working demonstration of Bailee. It explains the product and shows how it works.
Nothing is sold on the Website. There are no user accounts, no subscriptions, no in-app purchases, no mobile application, and no payment processing. The Website does not accept documents or filings from You.
Nothing on the Website is legal advice, and nothing on the Website creates an attorney-client relationship. A certificate produced by Bailee is a record of process. It is not an opinion about the merits of a filing, and it does not replace the professional judgment of the lawyer who signs that filing.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of the Company and its licensors.
The Service is protected by copyright, trademark, and other laws of the United States and of foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
If You believe that material on the Service infringes Your copyright or other intellectual property right, write to Us at admin@bailment.tech with a detailed description of the claim and of the material at issue. We will review the claim and take the action We consider appropriate, which may include removing the material.
Links to Other Websites
The Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party website or service. You agree that the Company is not responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of, or reliance on, any content or service available through any such website.

Termination
We may suspend or end Your access to the Service at any time, without prior notice and without liability, for any reason, including a breach of these Terms.
Upon termination, Your right to use the Service ends immediately. If You wish to stop using the Service, simply stop visiting the Website.
Limitation of Liability
To the maximum extent permitted by applicable law, the entire liability of the Company and its suppliers under any provision of these Terms, and Your exclusive remedy, is limited to 100 USD.
To the maximum extent permitted by applicable law, in no event will the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages of any kind. This includes damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy arising out of or in any way related to the use of or inability to use the Service, or otherwise in connection with any provision of these Terms. "AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE", with all faults and defects, and without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and their respective licensors and service providers, disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service. This includes all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising out of course of dealing, course of performance, usage, or trade practice. The Company gives no warranty and makes no representation that the Service will meet Your requirements, achieve any intended result, be compatible with any other software or system, operate without interruption, meet any performance or reliability standard, or be free of error.
Neither the Company nor any of its providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service or the information and materials on it; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information provided through the Service; or (iv) that the Service, its servers, or any email sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, or other harmful components.
Some jurisdictions do not allow the exclusion of certain warranties or limits on the statutory rights of a consumer, so some or all of the above may not apply to You. In that case, the exclusions and limits in this section apply to the greatest extent enforceable under applicable law.
Governing Law
The laws of the State of Delaware, United States, excluding its conflict of law rules, govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Disputes Resolution
If You have a concern or a dispute about the Service, You agree to first try to resolve it informally by contacting the Company at admin@bailment.tech.
For European Union (EU) Users
If You are a European Union consumer, You keep the benefit of any mandatory provision of the law of the country in which You are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to a United States government embargo, or that the United States government has designated as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish its objective to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver
Except as provided in these Terms, a failure to exercise a right or to require performance of an obligation does not affect a party's ability to exercise that right or require that performance at any later time. A waiver of a breach is not a waiver of any later breach.
Changes to These Terms and Conditions
We may modify or replace these Terms at any time, at Our sole discretion. If a revision is material, We will make reasonable efforts to give at least 30 days' notice on the Website before the new terms take effect. We decide what counts as a material change.
By continuing to access or use the Service after a revision takes effect, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Website and the Service.
